CERTIFICATE OF FORMATION

IT’S ALL ABOUT LOVE, INC.
The undersigned DEBORAH TORRICO, RICHARD ONG, and CHRISTINE ALINIECE, natural persons of the age of eighteen years or more, acting as Organizers of a Corporation under the Texas Non-Profit Corporation Act, hereby adopt the following Certificate of Formation for the Corporation.
ARTICLE I
The entity being formed is a nonprofit corporation. The name of the Corporation is: IT’ S ALL ABOUT LOVE, INC.
ARTICLE II
The corporation is a non-profit corporation.

The purpose for which the Corporation is organized is:
This corporation is organized exclusively for charitable, and educational purposes, including for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of an future United States Internal Revenue Law). The purposes for which the corporation is organized are to provide shelter, food, spaying, neutering, and medical treatment for animals and to promote the adoption of homeless animals and to support the fostering of animals until they can be adopted.
The corporation is organized pursuant to the Texas Non-Profit Corporation Act and does not contemplate pecuniary gain or profit to the members thereof. It is organized for non-profit purposes.

ARTICLE X
The authorized number and qualifications of members of the corporation, the different classes of membership, if any, the property, voting, and other rights and privileges of members, and their liability to dues and assessments and the method of collection hereof shall be as set forth in the By-Laws.
ARTICLE XI
No part of the net earnings of the corporation shall inure to the benefit of, or be distributed to its members, trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article Four hereof. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code of 1954, or the corresponding provision of any future federal tax code or (b) by a corporation, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code of 1954, or the corresponding provision of any future federal tax code.
ARTICLE XII
Upon the dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by the Courts of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Courts shall determine, which are organized and operated exclusively for such purposes.
ARTICLE XIII
The nonprofit corporation shall have members.
ARTICLE XIV
The undersigned affirms that the person designated as registered agent had consented to the appointment. The undersigned signs this document subject to the penalties imposed by law for the submission of a materially false or fraudulent instrument and certifies under penalty of perjury that the undersigned is authorized to execute the filing instrument.
ARTICLE XV
This organization is the successor in interest to the AIt=s All About Love Spay Neuter Assistance Program@ formed pursuant to the Texas Code of Prevention of Cruelty to Animals and recognized by the U.S. Internal Revenue Service as a 501(c)(3) tax exempt organization.
